1. Acceptance of Terms

Welcome to Blinxpace Labs ("Platform," "we," "our," "us"). By accessing or using our website located at [Website URL] (the "Site"), you ("User," "you") agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and Blinxpace Labs.

2. Platform Description

Blinxpace Labs is a private digital marketplace offering proprietary digital products ("Products") including, but not limited to, mobile application source code, website templates, landing pages, and graphics, exclusively developed and owned by Blinxpace Labs. Products are provided as a foundational codebase requiring customization and are not for direct redistribution or resale.

3. Account Registration

While browsing is permitted without an account, you must register for an account to make any purchase. You agree to provide accurate and complete information and are solely responsible for all activity under your account. We reserve the right to suspend or terminate accounts that provide false information or are used for improper purposes.

4. License Grant & Key Restrictions

Upon successful purchase, Blinxpace Labs grants you, the Licensee, a worldwide, non-exclusive, non-transferable, single-use, single-developer license to use the Product, subject to the following mandatory conditions:

4.1 Permitted Use (The "DO"):

You may use the Product to create one (1) unique End Product for yourself or a single client. The Product must serve as a starting point and undergo proper customization and development by a competent developer to integrate your unique features, design, content, and branding, resulting in a distinct End Product.

4.2 Explicitly Prohibited Uses (The "DO NOT" List):

You MAY NOT, under any circumstances:

Resell, Redistribute, or Sublicense: Sell, lease, sublicense, assign, or otherwise transfer the original Product, or a minimally modified version of it, as a template, stock item, or ready-made product on any platform, including but not limited to app stores (Google Play, Apple App Store), or marketplaces (CodeCanyon, Codester, etc.).
Direct Upload/Use: Use the Product "as-is" or with only superficial changes (e.g., text, colors, images) as a live application, website, or service.
Create Derivative Products: Extract, compile, or use the core logic, systems, or design of the Product to create a new template, toolkit, or product for sale or distribution that competes with the original Product or Blinxspace Labs.
Violate Laws: Use the Product in connection with any illegal, infringing, defamatory, or obscene materials.

5. Payment, Fees & Refund Policy

Payment: All payments are processed securely through our designated third-party payment processor(s). You agree to pay all fees as listed at the time of purchase.

Refund Policy: Digital Product Exception: Due to the intangible nature of digital goods, ALL SALES ARE FINAL. A refund will be issued only at our sole discretion in the exceptional case where a purchased Product is critically defective and completely non-downloadable or non-functional upon delivery. No refunds will be granted for:

Change of mind, lack of technical knowledge, or inability to use/customize the Product.
Partial functionality, compatibility issues with your environment, or minor bugs.
Failure to read the Product description or specifications before purchase.

6. Intellectual Property Rights

Blinxpace Labs retains all ownership, copyright, and intellectual property rights in the original Product and the Platform. Your license is a grant of usage rights under strict conditions, not a transfer of ownership. Any rights to the customized End Product you create belong to you, provided it incorporates significant original development and does not infringe on our underlying IP.

7. Disclaimer of Warranty & Limitation of Liability

No Warranty:The Platform and Products are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied. We do not warrant that Products will be error-free, meet your specific requirements, or be compatible with all systems or future updates.

Limitation of Liability: To the maximum extent permitted by applicable law in Bangladesh, Blinxpace Labs, its owners, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use the Platform or any Product. Our total cumulative liability shall never exceed the amount you paid for the specific Product giving rise to the claim.

8. Termination

We may immediately terminate or suspend your account and license without prior notice if you breach these Terms. Upon termination, you must cease all use of the Product, destroy all copies, and any rights granted to you will automatically cease.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

10. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on the Platform. Your continued use after such changes constitutes acceptance. We will notify registered users of material changes via email.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
